Sir:-

In continuation of the letter from this Department

of the 21st of April last enclosing despatches from

His Majesty's Consul-General at Shanghai and His

Majesty's Minister at Peking respecting the draft China

(Companies) Order in Council, I am directed by

Secretary Sir E. Grey to make the following observations

in regard to the recommendations put forward in that

correspondence.

The main amendment advocated by Sir E. Fraser is

the omission of the words "limited by shares" in the

definition of "China Company".

As Mr. Secretary Harcourt is aware, one of the

difficulties that has always beset the proposals for

facilitating the incorporation at Shanghai of British

Companies has been the question of how to enforce the

payment of sums owing by foreign contributories in the

event of winding up proceedings. To avoid this diffi-
